Terms of Service

CONSLINQ

Last updated: 18 October 2026 · Version 1.1

1. About these Terms

These Terms of Service govern your use of the CONSLINQ platform.

By clicking to accept these Terms, by signing an Order Form that references them, or by using the platform, you enter into a binding agreement with:

Gresys Hub Unip. Lda. Industrial Zone, Lote 4, Door 1 Cadaval 2550-171 Lisbon, Portugal

NIF: 517174065

referred to in these Terms as "we", "us", or "CONSLINQ". The consulting firm accepting these Terms is referred to as "you" or "the Customer".

These Terms apply together with our Privacy Policy, our Data Processing Agreement, and the Acceptable Use Policy at Annex A. Accepting these Terms means you accept all four documents.

Where you and we have executed a separate Order Form or master services agreement, the terms of that document prevail over these Terms to the extent of any conflict.

2. What CONSLINQ is

CONSLINQ is an operational platform for licensed immigration and relocation consulting firms in the European Union. It provides case management, client and family record-keeping, document handling, payment tracking, and related workflows to support the delivery of immigration and relocation consulting services.

The platform is designed for use by licensed consulting firms. You confirm, in accepting these Terms, that you are lawfully authorised to provide the services you offer to your clients in the jurisdictions in which you offer them.

The platform is not:

  • A source of legal advice — nothing on the platform constitutes legal, immigration, or financial advice from us to you or to your clients
  • A regulated financial service — payment records on the platform are informational only, and we do not process, transmit, or hold funds
  • A public marketplace of consultants or products — the platform operates on an invitation basis, with no public catalogue

3. Your account and users

Creating an account. Accounts are created by invitation. When we invite your firm, or when you or your Clients invite additional users, the invited person accepts these Terms as part of completing their account setup.

Account holders. The individual who first accepts these Terms on behalf of your firm binds the firm to them. You are responsible for ensuring that person has authority to do so.

User credentials. Each user must maintain the confidentiality of their credentials and is responsible for activity carried out through their account. Please notify us at legal@conslinq.com if you believe an account has been compromised.

User categories. The platform supports several categories of user: Consultants (your team), Affiliates (your business partners), Clients (the individuals you serve) and Family members (people whom you or one of your Clients invite to follow specific cases). Each category has defined access permissions. You are responsible for ensuring that users you invite belong to the correct category and have a legitimate reason to be granted access. Where you enable your Clients to invite Family members, you remain responsible for that access as the controller of the data concerned.

Age. User accounts are only available to people aged 18 or over. Personal data of younger people may be processed within cases, but they cannot hold an account.

4. What you can and cannot do with the platform

Permitted use. You may use the platform to deliver immigration, visa, and relocation consulting services to your clients, including managing cases, storing case documents, tracking payments, and communicating with affiliates and clients within the platform's designed workflows.

Restrictions. Your use of the platform is governed by the Acceptable Use Policy at Annex A. In summary, you must not:

  • Use the platform for anything unlawful
  • Process personal data you do not have a lawful basis to process
  • Attempt to breach platform security or access other firms' data
  • Reverse engineer the platform or its APIs
  • Resell the platform to third parties without our written agreement
  • Use the platform for purposes other than legitimate immigration and relocation consulting services

The full Acceptable Use Policy is at Annex A.

Compliance is yours. You are responsible for your own compliance with all laws applicable to your business, including your licensing obligations, your data protection obligations as controller of your clients' personal data, your anti-money-laundering obligations where applicable, and your professional conduct obligations. The platform provides tools; the obligation to use them lawfully is yours.

5. Fees, payment, and taxes

Fees. Fees for use of the Service, if any, are as set out in the applicable Order Form or as agreed in writing between the parties before the Service is made available to you.

Pilot and evaluation periods. During any pilot or evaluation period expressly agreed in writing, the Service may be provided at no charge. The scope, duration, and any transition arrangements for a pilot will be set out in the written agreement establishing it.

Changes to fees. We may introduce fees, or modify existing fees, for new subscription periods on at least 60 days' prior written notice. Fee changes do not apply retroactively to a subscription period already commenced. If you do not accept a fee change, you may terminate your subscription with effect from the end of your current period.

Payment terms. Where fees apply, invoices are payable within 30 days of the invoice date unless otherwise agreed. Late payments accrue interest at the statutory rate applicable to commercial transactions in Portugal.

Taxes. Fees are exclusive of VAT and any other applicable taxes, which you are responsible for paying in addition where required by law.

6. Term and termination

Term. These Terms take effect when you accept them and continue on a month-to-month basis until terminated by either party.

Termination for convenience. Either party may terminate the subscription for any reason on 30 days' written notice to the other. For customers on paid plans, termination takes effect at the end of the notice period; the customer pays fees due for the notice period. For customers on a free pilot, termination takes effect immediately on notice.

Termination for cause. Either party may terminate the subscription with immediate effect if:

  • The other party is in material breach of these Terms and fails to cure the breach within 30 days of written notice specifying the breach; or
  • The other party becomes insolvent, files for or is subject to bankruptcy proceedings, or ceases to carry on business.

Suspension. We may suspend your access to the Service, in whole or in part, without prior notice where we reasonably believe that continued access poses a security risk to us or to other customers, or where you are in serious breach of the Acceptable Use Policy. We will notify you promptly of any suspension and work in good faith to resolve the underlying issue. If the issue is not resolved within 15 days of suspension, we may treat the suspension as termination for cause.

Effect of termination. On termination:

  • Your access to the Service ends at the effective date of termination.
  • We preserve your data for 30 days after termination, during which you may export it. On written request received before the initial 30 days elapse, we may (but need not) extend this period by a further 60 days.
  • After the export window closes, we delete your data from the Service. Deletion is completed within a reasonable period, subject to standard sub-processor backup rotation cycles.
  • Deletion is performed on your authority as controller of the personal data. You are responsible for ensuring that such deletion is consistent with your own retention obligations under applicable law, including, for immigration case records in Portugal, statutory retention obligations of up to seven years. See our Data Processing Agreement for further detail.
  • Any provisions of these Terms which by their nature should survive termination — including confidentiality, limitations of liability, indemnification, governing law, and any accrued payment obligations — survive.

7. Service availability

The Service is provided on an "as available" basis. We monitor the platform continuously and aim for high availability, but during the v1 release we make no specific uptime commitment.

We will introduce a formal Service Level Agreement in a future release; customers on paid plans at that time will be offered the SLA on terms to be published then. If you require a specific uptime commitment for your use of the Service before then, please contact us before subscribing so that we can discuss whether a bespoke arrangement is possible.

We may perform scheduled maintenance from time to time. We will give reasonable prior notice of scheduled maintenance where it is likely to affect availability, and we aim to schedule such maintenance outside normal business hours in Portugal.

8. Intellectual property

Our IP. We own the platform, its underlying code, design, documentation, and all improvements and modifications to it, together with all associated intellectual property rights. Nothing in these Terms transfers any of these rights to you.

Your IP. You own your data and content — the case records, client information, documents, and other material you upload or generate through the platform. Nothing in these Terms transfers any of these rights to us.

Licence to us. You grant us a limited, non-exclusive, royalty-free licence to use, host, copy, transmit, and display your data solely for the purpose of providing the Service to you and complying with our legal obligations. This licence terminates when we delete your data in accordance with these Terms.

Feedback. If you provide us with suggestions, ideas, or feedback about the Service, we may use that feedback without restriction or obligation to you. This does not entitle us to use your confidential information, which remains subject to Section 9.

9. Confidentiality

Each party may receive confidential information of the other in connection with these Terms. Each party agrees to:

  • Use the other party's confidential information only for purposes of performing under these Terms
  • Protect the other party's confidential information with at least the same care it uses to protect its own confidential information, and in any event with reasonable care
  • Not disclose the other party's confidential information to third parties except to its own personnel and advisers who need to know and who are bound by equivalent confidentiality obligations

Confidential information means any non-public information disclosed by one party to the other that is marked confidential or would reasonably be understood to be confidential given its nature or the circumstances of disclosure. It does not include information that: is or becomes publicly known through no breach of these Terms; was already known to the receiving party without confidentiality obligation; is independently developed by the receiving party without use of the confidential information; or is required to be disclosed by law or court order, provided the receiving party gives prompt notice where legally permitted.

These confidentiality obligations survive termination of these Terms for a period of five years, or indefinitely in respect of information that is a trade secret.

10. Data protection

Our processing of personal data on your behalf is governed by our Data Processing Agreement, which is incorporated into these Terms.

In summary:

  • We act as processor in respect of personal data you upload or generate through the platform relating to your clients and their family members. You are the controller of that data.
  • We act as controller in respect of the account and firm data you provide to us to establish and operate your account, as described in our Privacy Policy.
  • Sub-processors. We use a small number of infrastructure sub-processors, listed at conslinq.com/subprocessors. We will notify you at least 30 days before engaging any new sub-processor or making a material change to an existing sub-processor arrangement.
  • Security and breach notification. Our technical and organisational measures are described in the Privacy Policy and the DPA. We will notify you of any personal data breach affecting your data without undue delay and in any event within 72 hours of becoming aware.
  • Data subject requests. Where a data subject contacts us directly with a request concerning data we process on your behalf, we will forward the request to you and support you in responding. We will not respond to the substance of such requests ourselves.

For the full data protection terms, please read the DPA.

11. Warranties and disclaimers

Our warranty. We warrant that we will provide the Service with reasonable skill and care and in accordance with these Terms.

Your warranties. You warrant that:

  • You have full authority to enter into these Terms and to perform your obligations under them
  • Your use of the Service will comply with all laws applicable to your business
  • You have all necessary rights, permissions, and lawful bases to upload, process, and store the personal data you put into the Service
  • You will not use the Service in violation of the Acceptable Use Policy

Disclaimers. Except as expressly set out in these Terms, the Service is provided "as is" and we disclaim all other warranties, whether express, implied, statutory, or otherwise, to the fullest extent permitted by law. In particular, we do not warrant that the Service will be uninterrupted, error-free, or that it will meet your specific requirements.

Nothing in this section limits any warranty or right that cannot be excluded or limited under applicable Portuguese law.

12. Indemnification

We will indemnify you against third-party claims alleging that the Service, as provided by us to you, infringes the third party's intellectual property rights registered in the European Union. Our obligation is subject to:

  • You giving us prompt written notice of the claim
  • You giving us sole control of the defence and settlement of the claim
  • You reasonably cooperating with us at our expense

Our obligation under this clause does not apply to claims arising from: your modification of the Service; your combination of the Service with third-party products or data not supplied by us; your use of the Service outside its intended scope; or your continued use of an infringing version of the Service after we have made a non-infringing version available.

If the Service is found to infringe, or in our reasonable opinion is likely to be found to infringe, we may at our option: procure the right for you to continue using it; modify it to be non-infringing; or terminate the affected portion of the Service and refund any pre-paid fees for the terminated portion.

You will indemnify us against third-party claims arising from:

  • Your misuse of the Service in breach of these Terms or the Acceptable Use Policy
  • The content of data you upload to or process through the Service
  • Your processing of personal data as controller, including claims from data subjects alleging that you lacked a lawful basis for the processing
  • Your breach of your warranties in Section 11

Our obligation under this clause is subject to us giving you prompt written notice of the claim, sole control of the defence and settlement, and reasonable cooperation at your expense.

13. Limitation of liability

Excluded losses. Neither party is liable to the other for indirect, consequential, incidental, special, or punitive damages, or for loss of profits, loss of business, loss of goodwill, or loss of anticipated savings, whether arising in contract, tort, or otherwise, even if the party has been advised of the possibility of such losses.

Overall cap. Subject to the carve-outs below, each party's total liability to the other arising out of or in connection with these Terms in any 12-month period is limited to the total fees paid or payable by you to us under these Terms in the 12 months immediately preceding the event giving rise to the liability.

Carve-outs — uncapped liability. The excluded losses and overall cap do not apply to:

  • Breach by either party of its confidentiality obligations in Section 9
  • Either party's indemnification obligations in Section 12
  • Either party's gross negligence or wilful misconduct
  • Fraud
  • Amounts owed by you to us for the Service
  • Any liability that cannot be limited or excluded under applicable Portuguese law

Statutory floor. Nothing in these Terms limits or excludes either party's liability for death or personal injury caused by negligence, or for any other matter that cannot be limited or excluded under Portuguese law.

14. Changes to these Terms

We may amend these Terms from time to time. Where amendments are material, we will notify you at least 30 days before they take effect, by email to the account owner and by notice within the platform. Non-material amendments — for example, corrections of typographical errors or clarifications that do not alter the substance — may be made without notice.

If you do not accept a material amendment, you may terminate your subscription with effect from the date the amendment would take effect. Continued use of the Service after the effective date of an amendment constitutes your acceptance of the amended Terms.

15. Notices

Notices under these Terms must be in writing and are effective when:

  • Sent by email to legal@conslinq.com (for notices to us) or to the account owner's registered email address (for notices to you), with confirmation of transmission; or
  • Delivered by registered post to the registered office of the recipient

Routine service communications, including platform notifications, invoices, and support correspondence, may be sent by ordinary email.

16. General

Assignment. Neither party may assign these Terms without the other's prior written consent, except that either party may assign to a successor in connection with a merger, acquisition, or sale of substantially all of its assets, on notice to the other.

Force majeure. Neither party is liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, pandemic, government action, or failure of essential infrastructure not within its control.

Independent contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

No third-party beneficiaries. These Terms do not confer any rights on any person who is not a party to them.

Entire agreement. These Terms, together with the documents referenced in Section 1, constitute the entire agreement between the parties concerning the subject matter and supersede all prior discussions, agreements, and understandings.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect, and the parties will negotiate in good faith to replace the invalid provision with a valid provision that most closely reflects the original commercial intent.

Waiver. A failure or delay in enforcing any provision of these Terms is not a waiver of the right to enforce that or any other provision later.

Language. These Terms are provided in English. A translation into Portuguese may be made available for convenience; in case of any conflict between versions, the English version prevails, unless Portuguese law requires otherwise.

Governing law. These Terms are governed by the laws of Portugal, without regard to its conflict-of-laws rules.

Jurisdiction. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of Lisbon, Portugal, subject to any mandatory rules of Portuguese law that require otherwise.

Annex A — Acceptable Use Policy

This Acceptable Use Policy forms part of the Terms of Service. Breach of this Policy is a material breach of the Terms.

In using CONSLINQ, you must not:

  1. Use the Service unlawfully. You must not use the Service for any purpose or in any manner that violates Portuguese law, European Union law, or any law applicable to you or your clients.

  2. Process data without lawful basis. You must not upload or process any personal data through the Service unless you have a lawful basis under the GDPR for doing so and have complied with your transparency and other obligations to the data subject. This obligation is on you as controller; we cannot verify lawful basis on your behalf.

  3. Attempt to breach security. You must not:

  • Attempt to access another firm's tenant, data, or user accounts
  • Probe, scan, or test the vulnerability of the platform without our prior written authorisation
  • Attempt to circumvent authentication, authorisation, or auditing mechanisms
  • Upload malware, exploit code, or any content designed to damage or interfere with the platform
  • Use the Service to attack, disrupt, or harm any third party
  1. Reverse engineer. You must not decompile, disassemble, or reverse engineer the platform or its APIs, or attempt to reconstruct its source code or data model, except to the extent expressly permitted by applicable law.

  2. Resell the Service. You must not offer the Service, or access to the Service, to third parties as if it were your own product or a product for which you hold reseller rights. The Affiliate role is a defined role within the platform and does not constitute resale. Any other arrangement requires our prior written agreement.

  3. Use the Service outside its purpose. You must use the Service only for legitimate immigration, visa, and relocation consulting services. You must not use it as a general-purpose CRM, marketing tool, or data repository for unrelated business.

  4. Use the Service abusively. You must not:

  • Generate excessive load, whether manual or automated
  • Use bots or scripts to interact with the platform beyond our published APIs and their published limits
  • Create accounts by automated means
  • Circumvent published rate limits or usage limits
  1. Process prohibited content. You must not use the Service to store or process:
  • Payment card data, until we introduce a compliant payment processing feature
  • Biometric data, unless expressly agreed with us in writing
  • Content unrelated to your consulting services and their delivery

Consequences. Breach of this Policy may result in immediate suspension of your access under Section 6 of the Terms, and may result in termination for cause. Where breach exposes us to liability or regulatory attention, we may take such further action as is reasonably necessary to protect the platform and its other users.
